1. About DaBouKay

DaBouKay is a digital gifting platform that allows users to discover bouquets, greeting cards, florist shops, and related digital gifting experiences.

Florists may create shops and list bouquets or other products for customers to purchase.

2. User Accounts

Users are responsible for:

• Providing accurate account information
• Keeping login credentials secure
• Maintaining the confidentiality of their account
• All activity performed through their account
• Updating inaccurate account information

You must not use another person's account without authorization.

DaBouKay reserves the right to suspend or terminate accounts involved in fraud, abuse, illegal activity, or violations of these Terms.

3. Florist Shops

Florists may create and operate shops on DaBouKay subject to platform requirements.

Florists are responsible for:

• Providing accurate shop information
• Providing accurate bouquet/product descriptions
• Uploading content they have the right to use
• Setting accurate product prices
• Fulfilling accepted orders appropriately
• Maintaining their shop and products
• Providing accurate payout information
• Following applicable laws and regulations

DaBouKay may remove products or suspend shops that violate platform rules.

4. Bouquet Limits

To maintain marketplace quality and platform performance, DaBouKay may limit the number of active bouquets/products that a shop can list.

Unless otherwise specified by DaBouKay, a shop may have a maximum of 50 active bouquet listings.

DaBouKay may modify this limit in the future.

5. Shop Performance Requirements

DaBouKay may establish minimum activity or sales requirements for participating shops.

Where a minimum sales requirement applies, shop owners will be informed of the applicable target and evaluation period.

DaBouKay may provide warnings, restrictions, or ultimately suspend/close shops that consistently fail to meet applicable marketplace requirements.

Any specific performance requirements may be communicated separately to Florists and may be updated by DaBouKay.

6. Shop Subscription / Monthly Rent

Some DaBouKay shop plans may require a recurring monthly subscription or shop fee (“Monthly Rent”).

The applicable fee and billing terms will be displayed or communicated before the shop is activated.

If a shop fails to pay required monthly fees, DaBouKay may restrict or suspend the shop.

A shop may be closed after two consecutive months of unpaid required fees, subject to any applicable notice or grace period.

7. Products and Pricing

Florists are responsible for the accuracy of their product listings.

DaBouKay may allow Florists to set their own product prices subject to applicable platform rules.

Prices, fees, taxes, and other charges will be displayed where applicable before an order is completed.

8. Orders and Payments

Customers may purchase bouquets and other available products through DaBouKay.

Payment processing may be handled through third-party payment providers such as Stripe.

By completing a purchase, you authorize the applicable payment provider to process the transaction.

DaBouKay may use payment-provider information to confirm payment and process the associated order.

9. Florist Payouts

Eligible Florists may receive payouts for completed orders according to the applicable DaBouKay payout and platform-fee structure.

Payout timing may depend on payment processing, order status, refunds, disputes, account verification, and the requirements of the payment provider.

10. Refunds and Cancellations

Refunds and cancellations are subject to the applicable DaBouKay refund policy and the circumstances of the order.

DaBouKay may investigate refund requests, payment disputes, fraudulent transactions, or other order-related issues before issuing or approving a refund.

Where a payment provider is involved, its rules may also apply.

11. Digital Greeting Cards

DaBouKay may provide digital greeting-card generation and editing features.

Users are responsible for reviewing their card before sending or purchasing it.

AI-generated content may contain mistakes, inappropriate wording, or inaccuracies. DaBouKay does not guarantee that every AI-generated message will be perfect.

Users must not use the card-generation system to create unlawful, threatening, defamatory, abusive, or otherwise prohibited content.

12. AI-Generated Content

DaBouKay may use third-party AI services to generate greeting-card messages, images, or other content.

AI-generated content is provided as an assistance feature and may require user review.

DaBouKay does not guarantee that AI-generated content will be unique, factually accurate, or suitable for every purpose.

13. Flower Aging Experience

Certain DaBouKay bouquets may include a digital flower-aging experience.

The experience may progress through multiple visual stages over approximately seven days.

The displayed aging experience is a digital representation and does not guarantee or represent the actual physical condition of any real flowers.

DaBouKay may use generated or processed images to represent different stages of the digital bouquet experience.

14. User Content

Users may submit names, messages, images, reviews, and other content.

You represent that you have the necessary rights to submit content you upload.

You must not upload content that:

• Violates another person's rights
• Infringes copyright or trademarks
• Is illegal
• Is fraudulent
• Contains malicious software
• Is abusive, threatening, or defamatory
• Violates applicable laws

DaBouKay may remove content that violates these Terms.

15. Intellectual Property

DaBouKay and its licensors retain ownership of the DaBouKay platform, software, branding, logos, designs, and original platform content except where otherwise stated.

Users and Florists retain ownership of content they independently own, subject to the licenses necessary for DaBouKay to operate the service.

You may not copy, reverse engineer, reproduce, redistribute, or commercially exploit DaBouKay's proprietary software or platform materials without written permission.

16. Prohibited Activities

Users must not:

• Attempt to gain unauthorized access to the platform
• Circumvent security mechanisms
• Use DaBouKay for fraudulent transactions
• Abuse payment systems
• Upload malicious code
• Scrape or systematically copy platform content without permission
• Impersonate another person or business
• Use the platform for unlawful purposes
• Interfere with the operation of the service

17. Suspension and Termination

DaBouKay may suspend or terminate accounts, shops, listings, or access to services when reasonably necessary because of:

• Terms violations
• Fraud
• Abuse
• Unpaid fees
• Repeated failure to meet applicable shop requirements
• Illegal activity
• Security concerns
• Payment disputes or risks
• Other serious platform-related issues

18. Service Availability

DaBouKay aims to provide reliable service but does not guarantee that the platform will always be available without interruption.

Maintenance, technical problems, third-party service outages, security incidents, or circumstances beyond DaBouKay's control may temporarily affect availability.

19. Third-Party Services

DaBouKay may depend on third-party services including payment processors, authentication providers, hosting infrastructure, storage providers, AI services, and communication providers.

Third-party services may have their own terms and policies.

20. Disclaimer

DaBouKay provides its platform and services on an “as available” basis to the extent permitted by applicable law.

We do not guarantee that the service will always be error-free, uninterrupted, or completely secure.

21. Limitation of Liability

To the maximum extent permitted by applicable law, DaBouKay will not be responsible for indirect, incidental, consequential, or special losses arising from the use of the platform.

Nothing in these Terms is intended to exclude liability that cannot legally be excluded.

22. Changes to These Terms

DaBouKay may update these Terms from time to time.

Updated Terms will be published on this page with a revised “Last Updated” date.

Continued use of the service after applicable changes may constitute acceptance of the updated Terms.

23. Governing Law

These Terms shall be governed by the applicable laws specified by DaBouKay in its final legal configuration.

The governing jurisdiction and dispute-resolution procedure should be finalized based on the legal structure and operating jurisdiction of DaBouKay.
